Terms of Service

Please read these Terms of Service carefully before using the Rackline platform. These Terms constitute a legally binding agreement between you and Rackline, Inc. governing your access to and use of our cloud hosting services.

1. Acceptance of Terms

By accessing or using Rackline's services, website, or any applications made available by Rackline (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the change becoming effective. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

2. Description of Services

Rackline provides cloud hosting infrastructure services, including but not limited to virtual servers ("Droplets"), managed databases, object storage, edge computing, and related tools and APIs. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services, provided that we give reasonable notice for material changes.

3. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your account. You agree not to disclose your password to any third party and to notify Rackline immediately of any unauthorized use of your account.

4. Billing and Payment

Certain aspects of the Services are provided for a fee. You will be billed in advance on a recurring monthly basis unless otherwise specified in your plan. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. We may change our fees at any time by posting the changes on our website or by notifying you via email. Fee changes will take effect at the start of the next billing cycle following the date of the change. Your continued use of the Services after a fee change constitutes your agreement to pay the updated fees.

5. Acceptable Use

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services. Prohibited activities include but are not limited to: distributing malware, conducting denial-of-service attacks, mining cryptocurrency without authorization, hosting pirated content, or engaging in any activity that violates applicable laws or regulations. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing offending content, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Rackline shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Services. In no event shall Rackline's aggregate liability for all claims relating to the Services exceed the greater of one hundred dollars ($100) or the amount you paid Rackline in the twelve months preceding the claim.

7. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may do so by contacting us at support@rackline.net or through your account settings. Upon termination, we will delete your data within 30 days, unless we are required to retain it by law or legitimate business purpose.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts.
